Abstract: عقد الترخيص التجاري هو احد العقود التي تسعى الى توسيع دائرة المشروع التجاري من خلال الترخيص للغير
باستعمال علامة تجارية او نموذج صناعي او براءة اختراع لمشروع تجاري اخر ، فعقد الترخيص هو احد وسائل نقل
التكنولوجيا في العصر الحالي، اذ يساعد على استغلال الاختراع او العلامة بطريقة قانونية وعملية ، حيث انه يوفر
فرص لصاحب العلامة بإشهار علامته ، كما يمكنه من الحصول على المقابل المادي لذلك الاستغلال من ناحية أخرى.

بناء على اهمية عقد الترخيص باستعمال العلامة التجارية تنهض اهمية البحث عن الطبيعة القانونية لعقد الترخيص
باستعمال العلامة التجارية ، من اجل الاحاطة بجوانبه القانونية ،خاصة بعد انتشار هذا العقد لذا بات من الضروري
تكييفه واعطائه الوصف القانوني الذي يتلاءم والأثار الاساسية التي يرتبها .

ويعد عقد الترخيص باستعمال العلامة التجارية من العقود التجارية الحديثة التي لم تلق تنظيما تشريعيا واهتماما فقهيا
كافيا لإبراز معالمه القانونية ، مما ادى الى حصول خلاف حول طبيعة هذا العقد فكيفه البعض على انه حق منفعة ،
بينما عده البعض الاخر عقد ايجار ، عليه سنحاول في هذا البحث التوصل الى تكييف قانوني يلائم طبيعة عقد
الترخيص باستعمال العلامة التجارية.

A commercial licensing contract is one of the contracts that seeks to expand the circle of the commercial project by licensing others to use a trademark, an industrial model, or a patent for another commercial project. The licensing contract is one of the means of transferring technology in the current era, as it helps to exploit the invention or trademark in a legal way. And practical, as it provides opportunities for the owner of the mark to publicize his mark, and he also enables him to obtain material compensation for that exploitation on the other hand. Based on the importance of the licensing contract for the use of the trademark, the importance of searching for the legal nature of the licensing contract for the use of the trademark rises, in order to take note of its legal aspects, especially after the spread of this contract, so it has become necessary to adapt it and give it a legal description that is compatible with the basic effects that it entails. The licensing contract for the use of the trademark is one of the modern commercial contracts that did not receive a legislative organization and sufficient jurisprudential attention to highlight its legal features, which led to a dispute about the nature of this contract, so how did some consider it a usufruct right, while others considered it a lease contract, so we will try in this research Reaching a legal adaptation that suits the nature of the licensing contract for the use of the trademark.
